Agility Robotics SPAC Vote Set for Nov 2. What the Prospectus Still Leaves Out

The SEC declared Agility’s S-4 effective Oct 13. Churchill shareholders vote Nov 2; redemption deadline is Oct 29 5 PM ET. Proposed ticker AGLT — and what the $620M pitch still assumes.

The SEC declared Agility Robotics’ joint Form S-4 with Churchill Capital Corp XI effective on October 13, 2026. Churchill has set an extraordinary general meeting for November 2 at 9:00 a.m. Eastern Time, and public shareholders who want to redeem must get their paperwork in by 5:00 p.m. ET on October 29. If the deal closes, Agility says it expects to trade on Nasdaq as AGLT.

That is the calendar for the Agility Robotics SPAC vote. The harder part is what the final prospectus and Agility’s own release still leave open: how much cash actually lands if redemptions climb, whether Digit 5 orders convert into shipped robots, and when early access begins. We walked the October 13 8-K and the final 424B3 against Agility’s press page.

The Agility Robotics SPAC vote calendar is now set

Churchill’s October 13 Form 8-K (Item 8.01) says the SEC declared the registration statement on Form S-4 (File No. 333-298781) effective that day. The extraordinary general meeting is November 2, 2026, at 9:00 a.m. Eastern Time, at Willkie Farr & Gallagher LLP, 787 Seventh Avenue, New York, with a virtual option through Churchill’s proxy site. The record date remains September 14, 2026.

The final 424B3 prospectus sets the redemption deadline at 5:00 p.m. Eastern Time on October 29, 2026: two business days before the scheduled vote. Directors can extend that deadline. Based on trust funds as of the record date, the illustrative redemption value is about $10.24 per public share. Shareholders can redeem whether they vote for or against the deal.

Agility’s October 13 release says the transaction is expected to close in November 2026 and that Agility expects to trade under ticker AGLT after closing, subject to Nasdaq approval. The prospectus also uses an “assumed Closing Date of October 29, 2026 … for illustrative purposes only.” That date is a modeling assumption, not a promise that AGLT starts trading that day.

The “$620 million” figure assumes no redemptions

Agility says the combination is expected to provide “more than $620 million in gross proceeds,” including about $424 million of Churchill trust cash assuming no redemptions by Churchill shareholders, plus about $200 million of incremental capital through a common-stock PIPE led by Foxconn. Those are company figures from the release.

The final prospectus Sources and Uses table still shows about $576 million of cash to the balance sheet in the no-redemption case. Our earlier reading of the amended S-4, which the final prospectus did not rewrite on this point, put cash to the balance sheet at about $155 million if all 41.4 million public shares redeem, still enough on paper to meet the deal’s $200 million Minimum Cash Condition when the PIPE is counted. The filing says the PIPE “is expected to be sufficient” to satisfy that condition. Gross proceeds and cash to the balance sheet are different numbers; treat the $620 million headline as a no-redemption company claim, not a done raise.

For the deeper cut of Agility’s sales, losses, going-concern language and Digit 5 order footnotes, see our filings explainer on what the Churchill S-4 paperwork shows. Cash on Agility’s books was still $14.7 million as of June 30, 2026, in the prospectus financials, with a going-concern paragraph still attached.

Digit 5 is not shipping yet

Agility’s release repeats “more than $300 million” in Digit 5 orders “subject to the satisfaction of certain contractual milestones, product features and/or specifications.” The S-4 paperwork we covered earlier shows that commitment as one related-party customer for 1,000 robots under a three-year robots-as-a-service contract. Do not read “$300 million in orders” as cash collected or robots delivered.

On timing, the final prospectus says early access to Digit 5 is expected to begin in the first half of 2027, with increasing availability over the following six to nine months. Agility’s October 13 release shortens that to “early 2027” for early access. Neither document says Digit 5 is shipping to customers today.

Agility also says it has commercial deployments and agreements with Schaeffler, GXO and Toyota Motor Manufacturing Canada, and names pipeline targets through year-end 2027 of about 30 to about 100 potential customers and 9 to up to 25 committed facility deployments. Those are company claims and plans from the release.

What to watch before November 2

Three near-term checks matter more than the ticker symbol. First, redemption requests filed by the October 29 deadline: that is the live number behind the $620 million pitch. Second, whether Churchill shareholders approve the business combination on November 2. Third, whether Agility ever names the related-party Digit 5 customer or publishes an independent count of Digit hours and accuracy that is not a company slide.

Until those land, AGLT is a proposed ticker after a vote that has not happened yet, and Digit 5 remains a prototype-stage product with a 2027 early-access plan.

Frequently asked questions

When is the Agility Robotics SPAC vote?

Churchill Capital Corp XI’s extraordinary general meeting is scheduled for November 2, 2026, at 9:00 a.m. Eastern Time, per the October 13 Form 8-K and the final 424B3 prospectus. The meeting is in New York with a virtual option.

What is the redemption deadline for CCXI shareholders?

The final prospectus sets the deadline at 5:00 p.m. Eastern Time on October 29, 2026, two business days before the scheduled vote. Directors can extend it. The illustrative redemption value as of the record date is about $10.24 per public share.

Will Agility trade as AGLT after the vote?

Agility says it expects to trade on Nasdaq under ticker AGLT following closing, subject to approval. The vote and closing conditions still have to clear. An assumed closing date of October 29 in the prospectus is illustrative only.

Does Agility already have $620 million from the SPAC?

No. Agility’s “$620 million” gross-proceeds figure assumes no Churchill shareholder redemptions and includes the Foxconn-led PIPE. Actual cash to the balance sheet depends on redemptions and closing.

Is Digit 5 shipping to customers?

No. The prospectus says early access is expected to begin in the first half of 2027. The $300 million order figure is subject to contractual milestones and specs, and earlier filings describe one related-party customer for 1,000 robots.
